PORTAL END USER LICENSE AGREEMENT

  1. Terms

    Welcome to the ICS Logistics Ltd Portal. By accessing this portal, including any information, documentation and updates contained therein (collectively, the “Portal”) you are agreeing to be bound by the terms and conditions of this Portal End User License Agreement (this “Agreement”) and the terms and conditions of ICS Logistics Ltd privacy policy, which are published at https:www.icsvcr.com/privacy and which are incorporated herein by reference,  all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing the Portal. The materials contained in this Portal are protected by applicable copyright and trade mark law. ICS Logistics Ltd. (the “Company”) reserves the right to revoke access to the Portal if the Company determines that any breach of this Agreement has occurred, or reasonably may occur in the Company’s estimation, and at its sole discretion acting reasonably.

  2. License Grant

    The Company grants you non-exclusive access to the Portal for viewing your booking information and applicable rates for such bookings. This Agreement entitles you to access and view information within the Portal. Use of the Portal is permitted from more than one device.

  4. Restrictions Under this Agreement you may not:
    1. assign, redistribute, encumber, sell, rent, lease, sublicense, or otherwise transfer your rights to the Portal or your logon information to the Portal without first obtaining the express written consent of the Company;
    2. attempt to decompile or reverse engineer any software contained on the Portal;
    3. remove any copyright or other proprietary notations from the materials on the Portal; or
    4. engage in any of the following:
      1. upload to, or transmit from, the Portal any data file, software, or link that contains or redirects to a virus, Trojan horse, worm or other harmful component;
      2. use any data mining, robots, or similar data gathering or extraction methods in connection with the Portal;
      3. impose an unnecessary burden on the service or network supporting the Portal;
      4. attempt to gain unauthorized use of the Portal or any related systems or networks;
      5. use the Portal in any manner which would be in breach of applicable laws and regulations; or
      6. authorize or encourage any third party to do any of the foregoing.

      This grant of license under this Agreement may be terminated by the Company at any time, including without limitation, for violations of any of the above restrictions. Upon terminating your use or access to the Portal, you must destroy any downloaded materials in your possession whether in electronic or printed format.

  5. Usage

    The Company will assume that any use of the Portal made using your user name and password is you, and you will be responsible for any such use. For any access to the Portal using your user name and password, you will:

    1. use best efforts to prevent unauthorized access to or use of the Portal, including keeping all user names and passwords confidential, and prevent any third party from accessing or using unauthorized user name(s), password(s) and account(s) for the Portal;
    2. be solely responsible and liable for all activity conducted through your login account(s) in connection with the Portal; and
    3. notify the Company promptly if you become aware of or reasonably suspects any security breach, including any loss, theft or unauthorized disclosure or use of your user name(s), passwords(s), or account(s) for the Portal.
  6. Disclaimer

    The materials on the Portal are provided “as is”. The Company makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Booking information and rates are subject to change and the Company reserves the right to revoke and/or change any rates based on market driven surcharges. Further, the Company does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on the Portal or otherwise relating to such materials or on any sites linked to the Portal. The Company does not make any commitment to update the materials on the Portal and does not guarantee or warrant that the use of the Portal will be uninterrupted, or be error-free. This term will survive termination of this Agreement.

  7. Limitation of Liability

    In no event will the Company or its directors, officers, employees, agents or suppliers be liable for any losses or damages (including, without limitation, any incidental, consequential, special, indirect, exemplary or punitive damages whether arising in tort, contract, or otherwise; or for any damages arising out of or in connection with any malfunctions, loss of data, lost profits, lost savings, interruption of service, loss of business or anticipatory profits) arising out of the use, unauthorized use or inability to use the Portal, even if the Company has been advised of the possibility of such losses or damages. This term will survive termination of this Agreement.

  8. Links

    The Company has not reviewed all of the sites linked to the Portal or its website ( http://www.icsvcr.com/ ) and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by the Company of the site. Use of any such linked website is at your own risk.

  9. Terms of Use Modifications

    The Company may revise these terms of use for the Portal at any time without notice. By using the Portal you are agreeing to be bound by the then current version of this Agreement.

  10. Governing Law

    Any claim relating to the Portal will be governed by the laws of the Province of British Columbia without regard to its conflict of law provisions. Any action relating to this Agreement or use of the Portal, will be brought solely within the Province of British Columbia and will be within the exclusive jurisdiction of the Courts of the Province of British Columbia. This term will survive termination of this Agreement.

  11. Severability

    If any provision of this Agreement will be held to be invalid or unenforceable, the remainder of this Agreement will remain in full force and effect. To the extent any expressed or implied restrictions are not permitted by applicable laws, these expressed or implied restrictions will remain in force and effect to the maximum extent permitted by such applicable laws.

  12. Entire Agreement

    This Agreement constitutes the entire agreement between you and the Company with respect to the Portal and supercedes all prior or contemporaneous understandings regarding such matter. No amendment to or modification of this Agreement will be binding unless made in writing and signed by the Company.
